Welcome to ReviewBeam! These Terms of Service (“Terms”) are a binding legal agreement between you (“User,” “you,” or “your”) and Digitsflow, Inc., a Delaware corporation (“Digitsflow,” “we,” “us,” or “our”), governing your access to and use of the ReviewBeam platform, website (reviewbeam.net), and all related services (collectively, the “Service”).

By accessing, signing up for, or using ReviewBeam, you agree to comply with and be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not use the Service.

1. Acceptance of Terms

Plain English Summary: By using ReviewBeam — whether by visiting the site, signing up, or clicking "Generate Reply" — you agree to these Terms. If you're using ReviewBeam for your business, you're confirming you have authority to bind that business to these Terms. You must be at least 18 years old to use ReviewBeam.

1.1. Agreement. These Terms constitute a legally binding agreement between you and Digitsflow, Inc., governing your access to and use of the Service.

1.2. Acceptance. By (a) accessing or browsing the Service, (b) creating an account, (c) clicking “Start Free Trial” or any similar button, or (d) using any feature of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

1.3. Minimum Age. You must be at least 18 years of age to use the Service. By using ReviewBeam, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding contract. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case “you” shall refer to both you and the entity.

2. Description of Service

Plain English Summary: ReviewBeam is a purpose-built SaaS tool that connects to your Google Business Profile (via your Google Maps link), pulls in your unanswered customer reviews, and uses AI to generate professional reply suggestions. You pick a tone, click Generate, review the output, and post it to Google. We do our best to keep it running smoothly, but we cannot guarantee 100% uptime.

2.1. What ReviewBeam Does. ReviewBeam is a software-as-a-service (SaaS) platform designed to help small business owners respond to Google Maps / Google Business Profile customer reviews more efficiently. The Service allows you to:

  • Connect your Google Maps business listing URL;
  • Retrieve unanswered customer reviews associated with your business listing;
  • Generate AI-powered suggested reply drafts using Large Language Models (LLMs);
  • Copy and post replies to Google via a deep-link integration.

2.2. Service Availability. We will use commercially reasonable efforts to make the Service available 24/7. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, emergency repairs, or factors outside our control. We are not liable for any downtime.

2.3. Geographic Availability. The Service is available globally unless access is prohibited by applicable law in your jurisdiction. You are responsible for ensuring your use of ReviewBeam complies with all local laws.

2.4. Third-Party Dependency. The Service depends on Google's publicly accessible review data and APIs. We have no control over Google's platform, policies, or data availability. Changes to Google's policies, APIs, or platform structure may affect or limit Service functionality, for which Digitsflow bears no responsibility.

2.5. Beta Features. From time to time, we may offer experimental or beta features. These are provided “as is,” without warranty, and may be modified or discontinued at any time without notice.

3. User Accounts and Responsibilities

Plain English Summary: You need an account to use ReviewBeam. Keep your login credentials private and safe — everything that happens under your account is your responsibility. If you think your account has been compromised, let us know immediately.

3.1. Account Registration. To use ReviewBeam, you must create an account through our authentication provider, Clerk (clerk.com). You agree to provide accurate, current, and complete registration information (including your name and email address) and to keep this information up to date.

3.2. Account Security. You are solely responsible for maintaining the confidentiality of your login credentials, including any password, passkey, or social login token. You agree to notify us immediately at support@reviewbeam.net if you suspect any unauthorized access, breach, or misuse of your account.

3.3. Account Activity. You are responsible for all activity that occurs under your account, whether or not you authorized it. Digitsflow is not liable for any loss or damage arising from unauthorized account access that results from your failure to comply with this Section.

3.4. Account Sharing. Your account is personal to you or your organization. You may not share your account credentials with third parties or allow others to access the Service through your credentials, except as authorized by Digitsflow in writing.

3.5. Accurate Business Information. When connecting a Google Maps business URL to the Service, you represent that you are authorized to manage that business listing and to post replies on behalf of that business.

3.6. Suspension and Termination. We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or pose a security or operational risk to us or our users.

4. Payment Terms

Plain English Summary: The free Starter plan gives you 5 AI replies — no credit card needed. The Growth plan is $29/month, billed automatically through Stripe. Unused reply credits don't roll over. Our refund policy allows refunds under certain conditions like technical issues. Cancelling takes about 30 seconds in your account settings.

4.1. Plans. ReviewBeam offers the following access tiers:

  • Starter (Free Trial): Includes 5 AI-generated reply credits at no charge. No credit card required. Limited to one Starter trial per business.
  • Growth Plan: USD $29.00 per month, providing 50 AI-generated reply credits per monthly billing cycle.
  • Pro Plan: Custom pricing for multi-location or high-volume businesses. Governed by a separate client agreement.

4.2. Payment Processing. All paid subscriptions are processed by Stripe, Inc. via a secure, PCI-DSS compliant payment integration. By providing payment information, you authorize Stripe to charge your designated payment method for applicable fees. Digitsflow does not store or directly access your full credit card number.

4.3. Payment Methods. We accept major credit and debit cards through Stripe. All charges are denominated in U.S. Dollars (USD) unless otherwise stated at checkout.

4.4. Auto-Renewal. By subscribing to the Growth Plan, you authorize Digitsflow (via Stripe) to automatically charge your payment method at the start of each monthly billing period until you cancel. Charges occur on the anniversary of your subscription start date. If a billing date falls on a day not in a given month (e.g., the 31st), you will be billed on the last day of that month.

4.5. Credits and Usage. One (1) reply credit is consumed each time you click “Generate Reply” and our system produces an AI-generated response.

  • Credits are allocated at the start of each billing period.
  • No rollover: Unused credits expire at the end of each billing period and are not carried forward.
  • All credits are forfeited immediately upon account termination or cancellation.

4.6. Taxes. All stated fees are exclusive of applicable sales tax, VAT, GST, or similar governmental charges. You are responsible for paying any taxes arising from your use of the Service.

4.7. Price Changes. We reserve the right to adjust subscription pricing. We will provide at least 30 days' advance written notice (via your registered email) before any price change takes effect. If you disagree with a price change, your sole remedy is to cancel your subscription before the new price applies.

4.8. Refund Policy. Except as set forth in Section 5 of our Terms of Sale (including for qualified technical issues reported within 30 days), all subscription fees, charges, and purchases are strictly non-refundable and non-creditable. Please refer to our Terms of Sale for the complete Refund Policy, conditions, and instructions on how to request a refund.

4.9. Cancellation. You may cancel your subscription at any time by logging into your account, navigating to Settings, and accessing the Stripe billing portal. To avoid being charged for the next cycle, you must cancel at least 24 hours before your next renewal date. Following cancellation, you retain access to your plan features and remaining credits through the end of your current billing period.

5. Intellectual Property Rights

Plain English Summary: ReviewBeam — including its design, code, AI models, and branding — belongs to Digitsflow. You get a limited right to use it for your business while you're a subscriber. You can't copy it, reverse-engineer it, or build a competing product with it.

5.1. Ownership. The Service, including its software, source code, algorithms, AI models, design, user interface, trademarks, and all related documentation, is owned by or licensed to Digitsflow, Inc. and is protected by intellectual property laws, including copyright, trademark, patent, and trade secret law.

5.2. License Grant. Subject to your compliance with these Terms and timely payment of applicable fees, Digitsflow grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your legitimate business purposes — specifically, to generate and manage replies for your own connected Google Business Profile listing(s).

5.3. Restrictions. You may not:

  • Copy, reproduce, distribute, modify, or create derivative works of any portion of the Service;
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code or underlying algorithms of the Service;
  • Sell, resell, sublicense, rent, or lease access to the Service to third parties;
  • Use any portion of the Service's AI outputs to train, fine-tune, or develop a competing machine learning model or product;
  • Remove, alter, or obscure any proprietary notices, labels, or branding on the Service;
  • Use ReviewBeam's trademarks or branding without our prior written consent.

5.4. Feedback. If you provide us with suggestions, ideas, or feedback about the Service (“Feedback”), you grant Digitsflow a perpetual, royalty-free, worldwide license to use, implement, and incorporate such Feedback without any obligation to you.

5.5. Your Business Data. You retain full ownership of the business information, Google Maps URLs, and other data you provide to the Service. You grant Digitsflow a limited license to process and use this data solely to provide the Service to you.

6. User-Generated Content and AI Outputs

Plain English Summary: The AI-generated reply suggestions belong to you once they're created — use them as you see fit. But please review every reply before posting it. The AI can make mistakes, sound off, or include inaccurate information. You are responsible for anything you post to Google.

6.1. AI-Generated Replies. The Service produces AI-generated reply suggestions (“AI Replies”) based on customer review content submitted to our AI provider. To the extent permitted by law, ownership of AI Replies generated for your account is assigned to you.

6.2. Your Responsibility. AI Replies are suggestions only. You acknowledge that:

  • AI Replies may contain factual inaccuracies, inappropriate tone, or errors;
  • You are solely responsible for reviewing, editing, and verifying the accuracy and appropriateness of every AI Reply before posting it to any platform;
  • Digitsflow makes no warranty regarding the truthfulness, quality, or accuracy of AI Replies.

6.3. Third-Party Platforms. When posting replies to Google Maps or Google Business Profile, you must comply with Google's Terms of Service and Community Guidelines. Digitsflow is not responsible for Google's enforcement actions, including suspension or removal of your business listing.

6.4. Review Content. Customer reviews fetched from Google are publicly available data. We process this data on your behalf to generate replies. You represent that your use of this data complies with all applicable laws and Google's terms.

7. Prohibited Uses

Plain English Summary: Here's a short list of things you agree not to do with ReviewBeam. Most of it is common sense — don't use it for anything illegal, don't try to break it, and don't use it to build a competing product.

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation;
  • Infringe any intellectual property rights, privacy rights, or other rights of any third party;
  • Transmit or upload malware, viruses, Trojan horses, or any other harmful or malicious code;
  • Attempt to gain unauthorized access to any portion of the Service, its related systems, or servers;
  • Use automated scrapers, crawlers, bots, or data extraction tools on the Service, except as expressly permitted by us;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Generate, upload, or transmit content that is defamatory, obscene, threatening, harassing, or otherwise objectionable;
  • Use AI Replies without human review in violation of any applicable law on automated or AI-generated communications;
  • Represent AI-generated replies as entirely human-authored without review or editing;
  • Use the Service to develop, train, or improve a competing product, service, or AI model;
  • Circumvent, disable, or interfere with any security or access-control feature of the Service;
  • Engage in any activity that could damage, disable, overburden, or impair the Service's infrastructure.

8. Privacy and Data Protection

Plain English Summary: How we handle your data is explained in our Privacy Policy at reviewbeam.net/privacy — please read it. We take GDPR (EU/UK) and CCPA (California) seriously, which means you have real rights over your data: access, deletion, portability, and more. We don't sell your personal information.

8.1. Privacy Policy. Our collection, use, and sharing of personal data is governed by our Privacy Policy, available at https://reviewbeam.net/privacy, which is incorporated into these Terms by reference. Please read it carefully.

8.2. GDPR — Rights of EEA and UK Residents. If you are located in the European Economic Area (EEA) or United Kingdom, you have the following rights regarding your personal data:

  • Right of Access: Request a copy of the personal data we hold about you.
  • Right to Rectification: Request correction of inaccurate or incomplete data.
  • Right to Erasure: Request deletion of your data (“right to be forgotten”).
  • Right to Restrict Processing: Request that we limit how we process your data.
  • Right to Data Portability: Receive your data in a structured, machine-readable format.
  • Right to Object: Object to processing based on legitimate interests.
  • Right to Withdraw Consent: Withdraw consent at any time where processing is based on consent.
  • Right to Lodge a Complaint: File a complaint with your local Data Protection Authority (DPA).

Legal Basis for Processing: We process your personal data under the following legal bases: (i) contractual necessity (to provide the Service), (ii) legitimate interests (to improve the Service and maintain security), and (iii) consent (for marketing communications, where applicable).

International Data Transfers: Your data may be processed in the United States by our service providers. We rely on Standard Contractual Clauses (SCCs) approved by the European Commission for such transfers.

8.3. CCPA / CPRA — Rights of California Residents. If you are a California resident, you have the following rights:

  • Right to Know: What personal information we collect and how we use it.
  • Right to Delete: Request deletion of your personal information.
  • Right to Opt-Out of Sale/Sharing: We do not sell or share your personal information for advertising or data broker purposes.
  • Right to Non-Discrimination: We will not discriminate against you for exercising your rights.
  • Right to Correct: Request correction of inaccurate personal information.
  • Right to Limit Use of Sensitive Personal Information: Limit use to what is necessary to provide the Service.

8.4. Cookies. We use essential cookies and session tokens (managed through Clerk) to authenticate users and maintain session state. We do not use third-party advertising or tracking cookies. For more detail, see our Privacy Policy.

9. Disclaimers and Limitation of Liability

Plain English Summary: ReviewBeam is provided as-is. We can't guarantee it's always perfect or available. If something goes wrong due to our fault, our liability is capped at what you've paid us in the last 12 months (or $100 for free-plan users). We're not on the hook for indirect damages like lost revenue or data. Some of these limitations may not apply in your jurisdiction.

9.1. As-Is Disclaimer. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. DIGITSFLOW, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: (I) WARRANTIES OF MERCHANTABILITY; (II) FITNESS FOR A PARTICULAR PURPOSE; (III) NON-INFRINGEMENT; (IV) ACCURACY OR COMPLETENESS OF CONTENT OR AI-GENERATED REPLIES; AND (V) UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SERVICE.

9.2. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIGITSFLOW, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF DIGITSFLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3. Liability Cap. DIGITSFLOW'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL AMOUNT PAID BY YOU TO DIGITSFLOW IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (II) ONE HUNDRED U.S. DOLLARS ($100.00) FOR FREE-PLAN USERS.

9.4. Google Disclaimer. ReviewBeam is an independent service and is not affiliated with, endorsed by, or sponsored by Google LLC, Google Maps, or Google Business Profile. Digitsflow expressly disclaims all liability arising from Google's enforcement actions, policy changes, listing suspensions, or penalties resulting from your use of ReviewBeam or AI-generated review replies.

9.5. Jurisdictional Variations. Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

9.6. Force Majeure. Digitsflow is not liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, pandemics, war, terrorism, government orders, labor disputes, infrastructure outages, or interruptions to third-party services. If a force majeure event continues for more than 60 days, either party may terminate this agreement without liability.

10. Indemnification

Plain English Summary: If your use of ReviewBeam causes legal problems for us (for example, because you violated these Terms or posted an AI reply without reviewing it and it caused harm), you agree to cover our legal costs. This is a standard clause that protects us from liability caused by your actions.

You agree to indemnify, defend, and hold harmless Digitsflow, Inc. and its officers, directors, employees, agents, and licensors from and against any and all claims, demands, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of or access to the Service;
  • Your violation of these Terms or any applicable law;
  • Your posting of AI Replies to Google or any third-party platform without adequate review;
  • Any claims by third parties arising from the business listing data or review content you provide;
  • Your violation of any rights of any third party.

Digitsflow reserves the right to assume exclusive control of the defense of any claim subject to indemnification by you, at your expense. You agree to cooperate fully with Digitsflow's defense of any such claim.

11. Termination

Plain English Summary: You can delete your account anytime in Settings — no hoops, no questions asked. We can also suspend or terminate your account if you violate these Terms. After termination, certain parts of these Terms (like our liability limits) still apply.

11.1. Termination by You. You may terminate your account at any time by logging into your account, navigating to Settings, and deleting your account, or by cancelling your subscription through the Stripe billing portal. Account deletion requests may be submitted by emailing support@reviewbeam.net.

11.2. Termination by Digitsflow. We reserve the right to suspend, restrict, or terminate your access to the Service at any time, with or without notice, if:

  • You violate any provision of these Terms;
  • We reasonably believe your conduct poses a security, legal, or operational risk;
  • Required by law or a government authority;
  • You fail to pay applicable subscription fees when due.

11.3. Effect of Termination. Upon termination:

  • Your license to use the Service ceases immediately;
  • Any unused reply credits are forfeited;
  • We will retain and delete your personal data in accordance with our Privacy Policy;
  • All accrued payment obligations remain due.

11.4. Survival. Sections 5 (Intellectual Property), 8 (Privacy), 9 (Disclaimers and Limitation of Liability), 10 (Indemnification), 12 (Dispute Resolution), and this Section 11.4 survive any termination of these Terms.

12. Dispute Resolution

Plain English Summary: If we have a disagreement, let's talk first — reach out to us and we'll work to resolve it informally before anyone escalates to lawyers. If we can't sort it out in 30 days, we'll move to formal legal proceedings in Delaware. Class-action lawsuits against us are waived.

12.1. Informal Resolution. Before filing any legal claim, you agree to first contact Digitsflow in writing at support@reviewbeam.net describing the dispute in detail. Both parties agree to make a good-faith effort to resolve the dispute within 30 days of such notice.

12.2. Governing Law. These Terms and any disputes arising from them are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.

12.3. Jurisdiction and Venue. If informal resolution fails, any legal action or proceeding shall be brought exclusively in the state or federal courts located in Delaware. You hereby consent to personal jurisdiction and venue in such courts.

12.4. Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR COLLECTIVE ACTION AGAINST DIGITSFLOW. Any claim must be brought on an individual basis only. This waiver does not apply where prohibited by applicable law.

12.5. Small Claims. Notwithstanding the above, either party may bring an individual claim in small claims court in the jurisdiction where you are located, provided the claim qualifies for such court.

12.6. Time Limitation. To the extent permitted by law, any claim arising out of or relating to the Service must be filed within one (1) year after the cause of action arises, or it is permanently barred.

13. Changes to These Terms

Plain English Summary: We may update these Terms from time to time. When we make material changes, we'll email you and post a notice on the site. If you keep using ReviewBeam after changes take effect, that means you accept the new Terms.

13.1. We may modify these Terms at any time. For non-material changes (such as clarifications, typo fixes, or legal language updates), we will update the “Last Updated” date and post the revised Terms at https://reviewbeam.net/terms.

13.2. For material changes(changes that significantly affect your rights or obligations), we will provide at least 30 days' advance notice by:

  • Sending an email to your registered address; and/or
  • Posting a prominent notice on the Service.

13.3. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

14. General Provisions

14.1. Entire Agreement. These Terms, together with our Privacy Policy and Terms of Sale (where applicable), constitute the entire agreement between you and Digitsflow regarding the Service and supersede all prior agreements, representations, and understandings.

14.2. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14.3. Waiver. Digitsflow's failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.

14.4. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Digitsflow may freely assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

14.5. No Agency. Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and Digitsflow.

14.6. Notices. Notices to you will be sent to your registered email address. Notices to Digitsflow must be sent to support@reviewbeam.net.

14.7. Electronic Communications. By using the Service, you consent to receive communications from us electronically, including emails and in-app notifications. You agree that electronic communications satisfy any legal requirement that communications be in writing.

14.8. Headings. Section headings are for convenience only and do not affect interpretation.

14.9. Counterparts / Execution. These Terms are entered into electronically and have the same legal effect as a written, signed agreement.
